Os Belenenses SAD, commonly known as Belenenses and sometimes as B-SAD, is a Portuguese professional association football club based Lisbon. The club was founded as an independent entity on 30 June 2018, an offshoot of the historic club C.F. Os Belenenses.
The club was competing in the Primeira Liga, Portugal's top tier. The club plays its home games at the Estádio do Jamor which has a capacity of 37,593 spectators. In 2023 it would merge with Clube Desportivo Cova da Piedade, adopting its name and using its facilities, in a vain attempt to maintain its place in Liga 3. The new SAD would end up not obtaining licensing by the FPF, being relegated to the district championships. B-SAD would eventually revoke the merger agreement with Cova da Piedade, after only 5 months of merger.
Currently, the club plays in the 2nd division of the AF Setúbal districts, which are equivalent to the Portuguese 6th division.
History[]
Origins[]
Belenenses created its Sociedade Anónima Desportiva (SAD) on 18 October 1999, to manage its professional football. In 2012, facing strong financial difficulties for the Club and SAD, the partners approved the sale of 51% of SAD to an investor, Codecity Sports Management, led by Rui Pedro Soares. In addition to the share purchase and sale agreement, a shareholders' agreement was entered into in which the founding club maintained special rights, such as veto rights to certain resolutions and the right to unilaterally repurchase shares with fixed prices and dates. A protocol was also signed that regulated the relations between the Club and the SAD.
However, Codecity, SAD's majority shareholder, unilaterally terminated the shareholders' agreement, alleging contractual violations by the Club. In 2017, the Court of Arbitration for Sport considered the termination of the shareholders' agreement valid, extinguishing the previously agreed possibility of the Club being able to reacquire the 51% of the shares, in order to regain control of professional football.
Relationship with the Football Club "Os Belenenses"[]
The protocol that regulated the relations between the Club and SAD, including the use of Estádio do Restelo (owned by the Club) by the SAD professional football team, had to be terminated by Belenenses on June 30, 2018 with the approval of the vast majority of the Club's members. Belenenses was relegated to the district championships and since then has been gradually and consecutively rising until returning to the professional ranks and competing in the second league again in the 2023/24 season.
Championships played and stadium[]
B SAD played until the 2021/22 season in the Primeira Liga, Portuguese Cup and Allianz Cup. B SAD does not have its own stadium and plays its matches as hosts at the Estádio do Jamor, rented to the IPDJ for this purpose. In February 2019, due to the temporary unavailability of the Estádio do Jamor, it rented the Estádio do Bonfim, in Setúbal, to play as a home team in 2 rounds.
On March 11, 2019, the new emblem debuted, without the Cross of Christ, after the confirmation by the Court of Appeal of Lisbon of the decision of the 1st instance of prohibition of the use of the name, emblem and symbols of the Belenenses club.
Use of the name[]
By decision of the Intellectual Property Court, dated October 29, 2018, B-SAD was prevented from using the emblem and symbols of the Belenenses club.
On 27 June 2019 Belenenses officially informed the Portuguese Football Federation and the Portuguese Professional Football League that, as of the 2019–20 season, it does not authorize its former SAD to use the name "Belenenses", as it did in the 2018–19 season, where it competed under the name "Belenenses SAD". This position of Belenenses is supported by the decision of the Lisbon Court of Appeal, which prevents the use of the club's word or figurative marks by SAD, and the case is awaiting the final decision in the main proceedings.
On February 21, 2021, the Intellectual Property Court (ICC) ruled in favor of B-SAD in the dispute over the use of the name, trademarks and symbols of the Football Club "Os Belenenses". He announced that he would appeal to the Lisbon Court of Appeal, so the decision did not become final. However, the club appealed this decision and until it becomes final, the injunction decided by the Constitutional Court remains in force.
Transformation in Cova da Piedade SAD[]
In 2023, the management of Cova da Piedade and B SAD reached an agreement in principle to unite in professional football. The terms of the agreement, revealed by the club's board of directors at a general meeting, provide for that sports society to change its name to Clube Desportivo Cova da Piedade – Futebol SAD (or another to be approved by the members) and the use of the José Martins Vieira Municipal Stadium for professional football matches.
The club from the south bank acquired 10% of the capital of the current BSAD, which will recognize Cova da Piedade as a founding club, with all the benefits and obligations provided for this in the law of sports societies. The B SAD brand will be in force until the end of the 2022/23 season and by assuming the "Cova da Piedade" brand, 100% of BSAD's historical connection to the "Os Belenenses" Football Club is extinguished.
Merge Completion Issues[]
Although Liga Portugal recognizes the union between Cova da Piedade and B SAD, the FPF did not do so. Due to this, the newly created Cova da Piedade SAD did not obtain a license to participate in Liga 3.
To try to get a place in professional football Portuguese, the club filed a lawsuit against LANK Vilaverdense, for alleged problems in registering for Liga Portugal 2. However, the lawsuit was dismissed and LANK Vilaverdense obtained a license to participate in the Second League.
In the end, after 5 months of merging, the 2 clubs decided to separate by mutual agreement, completely ending their mutual collaboration.
